1. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use Araeo. If you create an account, you must provide accurate information and keep your credentials secure. You're responsible for all activity under your account.

Business Use: Araeo is designed for professional and business use. Individual practitioners and firms are responsible for ensuring their use complies with applicable professional licensing requirements.

2. Service Description

Araeo provides an integrated platform consisting of:

• Desktop Application: AI-powered CAD automation software (Electron-based)
• Cloud Services: AI model inference, data processing, and synchronization
• Integrations: Connections to Autodesk products, Excel, and third-party platforms
• Web Platform: Account management, documentation, and support resources

3. Subscription & Billing

Araeo offers subscription-based pricing across multiple tiers:

• Individual: $150/year per user
• Professional: $1,000/seat/year
• Enterprise: Custom pricing based on deployment size and requirements

Billing Terms: Fees are billed annually in advance. All payments are non-refundable except as required by law or explicitly stated in these terms. Applicable taxes may apply based on your location.

4. Changes to Service and Terms

We may update the Service and these Terms periodically. Material changes will be announced via email or in-app notification with reasonable advance notice. Continued use after the effective date constitutes acceptance. If you don't agree to changes, you may cancel your subscription and stop using the Service.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or attempt to interfere with Service operation
• Attempt to access non-public areas, systems, or data
• Use the Service to develop competing AI models or automation platforms
• Share account credentials or allow unauthorized access
• Use outputs for safety-critical applications without proper professional review
• Process confidential client data without adequate safeguards and permissions

We reserve the right to suspend or terminate accounts that violate these policies, with or without notice depending on the severity of the violation.

6. Professional Use & AI Output Disclaimers

AI Model Limitations: Our AI models may produce inaccurate, incomplete, or inappropriate outputs. You acknowledge that:

• AI outputs require human verification and professional review
• Models may reflect biases or limitations in training data
• Outputs may not comply with local codes, standards, or best practices
• We provide no warranties regarding accuracy, completeness, or fitness for specific purposes

Code Compliance Features: Our code compliance and zoning analysis features are informational tools only. They do not constitute official code review, professional engineering analysis, or regulatory approval. All compliance determinations require review by qualified professionals and appropriate authorities.

7. User Content & Intellectual Property

Your Content

You retain all rights to your CAD files, designs, and other content ("User Content") that you input into or create with Araeo. You grant us a limited license to:

• Process, analyze, and manipulate User Content to provide the Service
• Store User Content temporarily for service operation and your access
• Create derivative works as part of automation and AI operations you request
• Display User Content back to you through our interfaces

AI Training & Data Usage

Enterprise Opt-Out: Enterprise customers can opt out of having their data used for model training and improvement. Contact support to configure data usage preferences.

Aggregated Insights: We may use aggregated, de-identified usage patterns to improve our services, but will not use specific project data without permission.

Our Intellectual Property

Araeo and our licensors own all rights in the Service, including software, AI models, algorithms, and user interfaces. You receive only the limited rights expressly granted in these terms. You may not reverse engineer, decompile, or attempt to extract our proprietary methods or models.

8. Third-Party Integrations

Araeo integrates with third-party platforms including:

• Autodesk Products: Revit, AutoCAD, Construction Cloud
• Microsoft Excel: Bidirectional data synchronization
• Cloud Storage: File access and synchronization
• Code Databases: UpCodes, Gridics, and other compliance platforms

Third-party services are governed by their own terms of service. We're not responsible for third-party service availability, functionality, or data practices. Integration failures or third-party service issues may affect Araeo functionality.

9. Data Processing & Privacy

Our data collection, processing, and privacy practices are detailed in our Privacy Policy, which is incorporated by reference. Key points:

• We use analytics to improve the Service (opt-out available)
• Processing may occur on servers in the United States
• You can request data deletion or exercise other privacy rights
• Enterprise customers can configure data processing preferences

10. Desktop Software License

The Araeo desktop application is licensed software subject to these additional terms:

• Installation: You may install on devices you own or control
• Updates: We may automatically update the software to provide improvements and security fixes
• System Requirements: You're responsible for maintaining compatible hardware and operating systems
• Offline Functionality: Some features require internet connectivity

11. Warranties & Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.To the extent permitted by law, we disclaim all warranties, including:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, completeness, or reliability of outputs
• Uninterrupted or error-free operation
• Compatibility with all CAD platforms or file formats

12. Limitation of Liability

To the maximum extent permitted by law, Araeo and our suppliers will not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Project delays, cost overruns, or construction errors
• Third-party service failures or integration issues

Damage Cap: Our total liability for all claims is limited to the greater of $1,000 or the amounts you paid us for the Service in the 12 months before the claim arose.

13. Indemnification

You will defend, indemnify, and hold harmless Araeo against claims arising from:

• Your use of the Service in violation of these terms
• Your User Content or violation of third-party rights
• Professional services you provide using Araeo outputs
• Misuse of AI outputs without proper professional review

14. Termination

Your Rights: You may cancel your subscription anytime through account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

Our Rights: We may suspend or terminate your access immediately for:

• Material breach of these terms
• Non-payment of fees
• Violation of acceptable use policies
• Risk to other users or our systems

Effect of Termination: Upon termination, your right to use the Service ends immediately. We'll provide reasonable opportunity to export your data. Sections that by their nature should survive (IP rights, disclaimers, limitations) will continue to apply.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Delaware, and you consent to jurisdiction and venue in those courts.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions, class arbitrations, or representative proceedings.

16. Enterprise & Custom Agreements

Enterprise customers may execute separate agreements that modify these terms. In case of conflict between these Terms and a signed enterprise agreement, the enterprise agreement controls.

Volume Licensing: OEM and volume licensing arrangements are governed by separate agreements and may have different terms.

17. Export Controls

The Service may be subject to export controls under U.S. and other applicable laws. You agree to comply with all applicable export control laws and not to export, re-export, or transfer the Service to prohibited countries, entities, or individuals.

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any enterprise agreements, constitute the complete agreement between us.

Severability: If any provision is found unenforceable, the remainder of these Terms remains in full effect.

Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations to affiliates or in connection with a merger, acquisition, or sale of assets.

Force Majeure: We're not liable for delays or failures due to causes beyond our reasonable control.
